Independent Contractor & Liability Protection Clause

Independent Contractor Status

Innovation Shipping Containers operates as an independent seller and supplier of shipping containers. Any third-party drivers, delivery operators, crane services, contractors, fabricators, installers, or modification specialists utilized in connection with delivery or related services are independent contractors and are not employees, agents, partners, or joint venturers of Innovation Shipping Containers.

We are not responsible for the acts, omissions, negligence, errors, or misconduct of any independent contractor.

No Control Over Third-Party Services

Buyer acknowledges that:

  • Delivery drivers may be third-party carriers.

  • Offloading services may be performed by independent operators.

  • Modification or installation services may be performed by third-party contractors.

Innovation Shipping Containers does not control the manner or method in which such third parties perform their services.

Buyer Responsibility for Site & Safety

Buyer assumes full responsibility for:

  • Site preparation

  • Ground stability

  • Clearance and access

  • Underground utilities

  • Permit compliance

  • HOA approvals

  • Zoning requirements

The Company shall not be liable for:

  • Property damage due to inadequate site conditions

  • Surface damage to concrete, asphalt, landscaping, or driveways

  • Damage to underground pipes, wiring, septic systems, or utilities

Buyer assumes all risks associated with delivery access and placement.

Indemnification & Hold Harmless

Buyer agrees to defend, indemnify, and hold harmless Innovation Shipping Containers, its owners, officers, employees, and affiliates from any and all claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or related to:

  • Delivery access issues

  • Improper site conditions

  • Injuries occurring during or after delivery

  • Use, modification, or resale of the container

  • Third-party contractor performance

This indemnification survives delivery and completion of the sale.

Limitation of Damages

In no event shall Innovation Shipping Containers be liable for:

  • Incidental or consequential damages

  • Lost profits or business interruption

  • Structural damage after placement

  • Delays caused by third parties

Maximum liability, under any circumstance, shall not exceed the total purchase price paid by Buyer.

Buyer Acknowledgment

By purchasing from Innovation Shipping Containers, Buyer acknowledges:

  • They have inspected or waived inspection of the container.

  • They accept the container in its current condition unless otherwise agreed in writing.

  • They assume all risks once delivery is completed.
